Agreement
This End-User License Agreement ("EULA") is a legal agreement between you ("Licensee") and Seaynic Labs LLC ("Licensor") governing your use of software products purchased from store.seayniclabs.com. By purchasing, downloading, or using any product, you agree to be bound by this EULA.
Free and open-source products are governed by their own license (typically MIT) as stated in the product listing and repository. This EULA applies only to paid products.
License grant
Upon purchase, Licensor grants you a perpetual, non-exclusive, non-transferable, revocable license to use the product. Specifically:
- The license is perpetual — you may use the version you purchased (or are entitled to) indefinitely
- The license is personal — it is granted to you or your organization, not to a machine or device
- The license permits use on up to 3 machines (or as specified in the product listing)
- The license may not be transferred, sublicensed, or shared outside your organization
- If you received the product as part of a bundle, each component is governed by this EULA independently
Product updates
Products fall into two update categories, as specified in the product listing at the time of purchase:
Lifetime updates
Applies to: MCP servers, configuration kits, and packaged content products.
- Your purchase includes all future updates to the product at no additional cost
- Updates are delivered via your account dashboard at store.seayniclabs.com and optional email notifications
- Lifetime updates cover incremental improvements, bug fixes, new features, and compatibility updates within the product's current scope
Subscription updates
Applies to: self-hosted Docker applications (e.g., StdOut Self-Host, Hone Self-Host).
- Your purchase grants a perpetual license to run the software — it will work forever on the version you have
- Access to new versions requires an active update subscription (monthly or annual, as listed at checkout)
- While your subscription is active, you are entitled to every new stable version released
- If you cancel your subscription, you retain the right to use the last version released while your subscription was active (your "entitled version")
- If you re-subscribe at any time, your entitlement immediately jumps to the current latest version
- For Docker products, your container registry pull access is active only while your update subscription is active
Security patches
Security patches are provided free of charge to all license holders, regardless of update subscription status. When a security vulnerability is discovered:
- We will patch the most recent minor version of each affected major version
- All affected license holders will be notified by email with a download link
- Security patches do not require an active update subscription
- If you are on an older minor version, you may need to update to the latest minor version within your major version before applying the security patch
We do not guarantee specific response times for security patches, but we treat security issues as highest priority.
New products vs. updates
Lifetime updates and subscription entitlements cover improvements within a product's existing scope. A ground-up redesign or fundamental scope expansion may be released as a new product requiring a separate purchase. Examples:
- Update (covered): adding new tools to an MCP server, performance improvements, UI redesign, new integrations within the existing architecture
- New product (separate purchase): rewriting a product for an entirely different platform, adding a fundamentally different capability that changes the product's market category
This distinction will be clearly communicated before any new product is released. Existing license holders will never lose access to the version they already have.
License keys
- License keys are issued at purchase and delivered to your email and account dashboard
- Keys are formatted as
SL-XXXX-XXXX(product code + unique identifier) and are unique to your purchase - Keys are used to verify your entitlement when checking for updates
- Keys may be embedded in downloaded product files (e.g.,
license.json) for convenience - You are responsible for keeping your license key secure — treat it like a password
- Keys may be revoked if this EULA or the Terms of Service are violated, or upon a refund
Refunds. If you receive a refund under our Refund Policy, your license key is revoked, update and download access (including container registry tokens tied to that license) ends, and you must stop using the product.
Restrictions
You may not:
- Redistribute, resell, sublicense, or publicly share the product or any portion of it
- Publish the product files in a public repository or file-sharing service
- Remove, alter, or obscure license keys, copyright notices, or attribution
- Reverse-engineer, decompile, or disassemble the product beyond what applicable law permits
- Use the product to build a competing product that substantially replicates its functionality
- Circumvent license key validation, activation limits, or update subscription gating
- Share container registry access tokens with unauthorized parties
Ownership
The product, including all code, documentation, and associated materials, remains the intellectual property of Seaynic Labs LLC. This EULA grants a license to use the product — it does not transfer ownership.
Any data you create, import, or process using the product is yours. We claim no ownership of your data.
Termination
- This license is effective until terminated
- Your license terminates automatically if you violate any term of this EULA
- Upon termination, you must stop using the product and destroy all copies
- If your license is revoked due to a refund, see the Refund Policy
- Sections on ownership, limitation of liability, and governing law survive termination
Disclaimer of warranties
The product is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Seaynic Labs LLC does not warrant that the product will be error-free, uninterrupted, or meet your specific requirements.
Limitation of liability
In no event shall Seaynic Labs LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the product. Our total liability is limited to the amount you paid for the product license.
Governing law
This EULA is governed by the laws of the State of Tennessee, United States. Any disputes shall be resolved in the courts of Montgomery County, Tennessee.
